Oli Health Free Forever Promotion — Full Terms & Conditions

These Promotion Terms (the "Promotion Terms") govern participation in the Oli Health Free Forever Promotion (the "Promotion") operated by Oli Health ("Oli Health," "we," "us," or "our"). By participating in the Promotion, you ("Participant," "you," or "your") agree to these Promotion Terms, which supplement Oli Health's Terms of Service, Privacy Policy, and any applicable Business Associate Agreement (collectively, the "Oli Health Agreements"). In the event of a conflict between these Promotion Terms and the Oli Health Agreements, these Promotion Terms control solely with respect to the Promotion.
1. Eligibility
1.1. The Promotion is open to new Oli Health accounts created before August 31, 2026 (the "Promotion Deadline"). Accounts created on or after August 31, 2026 are not eligible.
1.2. Participants must be at least the age of majority in their jurisdiction and legally capable of entering into a binding agreement.
1.3. The Promotion may be restricted or unavailable in certain jurisdictions where prohibited or restricted by applicable law.
1.4. Oli Health reserves the right to determine eligibility in its sole discretion.
2. Promotion Scope
2.1. Eligible accounts will receive the Oli Health All-in plan with the recurring base subscription fee set to $0 (the "Free Plan").
2.2. The Free Plan continues for as long as the Participant's account remains active and in good standing, subject to the terms outlined herein.
2.3. The Free Plan applies to the recurring base subscription fee for the Oli Health All-in plan, including unlimited practitioner seats provisioned on the Participant's account during the Promotion period.
3. Active Account Requirement
3.1. To maintain Free Plan eligibility, Participant's account must remain active. An account is considered "active" when the Participant logs in and engages in clinical or administrative activity on the platform at least once every sixty (60) consecutive days.
3.2. Accounts with no login or clinical activity for sixty (60) or more consecutive days may be classified as inactive. Inactive accounts are subject to deactivation and removal at Oli Health's discretion.
3.3. Oli Health will make commercially reasonable efforts to notify the Participant prior to deactivating an inactive account, including email notification to the address on file.
3.4. If an inactive account is deactivated, the Participant may contact Oli Health to request reactivation. Reactivation is not guaranteed and is at Oli Health's sole discretion. Reactivated accounts may or may not retain Free Plan eligibility.
4. Fair Usage Policy
4.1. The Free Plan is subject to a fair usage policy designed to prevent abuse and ensure equitable access to platform resources for all customers.
4.2. Fair usage limits include, but are not limited to, reasonable data storage consumption, API call volumes, and platform resource utilization consistent with normal clinical practice operations.
4.3. Oli Health reserves the right to contact Participants whose usage significantly exceeds normal patterns, and to take corrective action including introducing charges for additional storage, limiting features, or account review.
5. What the Free Plan Does NOT Include
The Free Plan does not cover, waive, discount, or reimburse any of the following, all of which remain the sole responsibility of the Participant:
5.1. AI usage and add-on AI credits, including but not limited to AI usage above any included allotment, additional AI credits, AI Patient Overview, AI Assistant, AI Charting, AI Patient Intake, agentic AI workflows, or any other AI-related metered usage, overage, or premium AI feature.
5.2. Payment processing fees, including but not limited to credit card, debit card, ACH, bank transfer, digital wallet, and any third-party processor fees, interchange fees, chargeback fees, or platform fees associated with collecting payments from clients or patients.
5.3. Insurance and claims processing fees, including but not limited to claim submission fees, clearinghouse fees, eligibility check fees, ERA/EOB processing fees, claim resubmission fees, denial management fees, and any third-party billing partner fees.
5.4. SMS, voice, fax, and notification fees, including appointment reminders, two-way messaging, voice calls, mass communications, and any per-message or per-minute charges.
5.5. Storage overage fees, including overages for documents, images, recordings, attachments, audio/video files, transcripts, or backups beyond plan-included limits.
5.6. E-prescribing, lab integration, and e-fax fees, including per-transaction or per-message fees and any third-party network fees.
5.7. Onboarding, training, data migration, custom development, professional services, and consulting fees.
5.8. Add-on modules, premium integrations, marketplace apps, and third-party app fees, including any fees passed through from third-party vendors.
5.9. Compliance, legal, audit, BAA-related, or jurisdiction-specific surcharges that may apply to certain customers or regions.
5.10. Taxes, including sales tax, GST, HST, VAT, and any other applicable national, state, provincial, or local taxes, levies, duties, or government-imposed fees, all of which remain the responsibility of the Participant.
5.11. Any fees, charges, or services not expressly identified as part of the base Oli Health All-in plan recurring subscription fee.
Note: Standard telehealth (HIPAA-compliant video consultations) is included in the Oli Health All-in plan and is therefore covered by the Free Plan.
For clarity: the Free Plan zeroes out only the recurring base subscription fee for the Oli Health All-in plan. All metered, usage-based, third-party, regulatory, transactional, and add-on fees continue to be billed in accordance with Oli Health's then-current pricing.
6. Modification and Termination
6.1. Oli Health reserves the right to modify, suspend, or terminate the Promotion, in whole or in part, at any time and for any reason. Oli Health will provide reasonable prior notice to affected Participants in accordance with the Terms of Service before making any material changes to the Promotion or ending it for existing Participants.
6.2. Oli Health reserves the right to change, adjust, or discontinue any plan, pricing structure, or feature of the Free Plan at any time with reasonable prior notice in accordance with the Terms of Service.
6.3. Oli Health may modify these Promotion Terms at any time by posting an updated version. Continued use of the Free Plan following such modification constitutes acceptance of the updated Promotion Terms.
6.4. Upon termination of the Promotion for new sign-ups, existing Free Plan Participants retain their Free Plan status subject to these Promotion Terms, including the active account requirement and fair usage policy.
7. No Cash Value; Non-Transferable
7.1. The Free Plan has no cash value and is not redeemable for cash, credit, refund, or any equivalent.
7.2. The Free Plan is personal to the Participant's account, is non-transferable, and may not be sold, assigned, traded, or combined across accounts.
7.3. The Free Plan expires automatically upon termination, cancellation, or suspension of the Participant's Oli Health account, or termination of the Promotion for existing Participants.
8. Prohibited Conduct
8.1. Participants may not engage in any of the following prohibited conduct, and any such conduct may result in loss of Free Plan eligibility, suspension, or termination of the Participant's account:
- Creating duplicate, fake, or fraudulent Oli Health accounts to exploit the Promotion;
- Using bots, scripts, automation, or any artificial means to create accounts or maintain activity;
- Misrepresenting Oli Health, its features, pricing, compliance posture, or any aspect of the Promotion;
- Excessive or abusive use of platform resources inconsistent with normal clinical practice operations;
- Any conduct that violates applicable law, regulation, or professional ethical obligation, including HIPAA, PIPEDA, PHIPA, state privacy laws, or applicable provider/regulator rules.
9. Disclaimers and Limitation of Liability
9.1. THE PROMOTION AND THE FREE PLAN ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
9.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OLI HEALTH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION OR THE FREE PLAN.
9.3. OLI HEALTH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROMOTION SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
10. Privacy
10.1. Information shared with Oli Health in connection with the Promotion will be handled in accordance with the Oli Health Privacy Policy.
11. Governing Law and Disputes
11.1. These Promotion Terms are governed by and construed in accordance with the laws specified in the Oli Health Terms of Service, without regard to conflict of laws principles.
11.2. Any dispute arising out of or relating to the Promotion shall be resolved in accordance with the dispute resolution provisions of the Oli Health Terms of Service.
12. Miscellaneous
12.1. Entire Agreement. These Promotion Terms, together with the Oli Health Agreements, constitute the entire agreement between the parties with respect to the Promotion.
12.2. Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3. No Waiver. No failure or delay by Oli Health in exercising any right shall operate as a waiver thereof.
12.4. Assignment. The Participant may not assign or transfer these Promotion Terms or any rights hereunder without Oli Health's prior written consent. Oli Health may assign these Promotion Terms freely.
12.5. Headings. Section headings are for convenience only and shall not affect interpretation.
