Oli Health Referral Program — Full Terms & Conditions

These Referral Program Terms (the “Program Terms”) govern participation in the Oli Health Referral Program (the “Program”) operated by Oli Health (“Oli Health,” “we,” “us,” or “our”). By participating in the Program, you (“Participant,” “Referrer,” “you,” or “your”) agree to these Program Terms, which supplement Oli Health’s Terms of Service, Privacy Policy, and any applicable Business Associate Agreement (collectively, the “Oli Health Agreements”). In the event of a conflict between these Program Terms and the Oli Health Agreements, these Program Terms control solely with respect to the Program.
1. Eligibility
1.1. The Program is open to current Oli Health customers who maintain an Oli Health account in good standing on a paid Oli Health plan, are at least the age of majority in their jurisdiction, and are legally capable of entering into a binding agreement.
1.2. Oli Health employees, contractors, affiliates, and their immediate family members are not eligible to participate.
1.3. Participation may be restricted or unavailable in certain jurisdictions where prohibited or restricted by applicable law.
1.4. Oli Health reserves the right to determine eligibility in its sole discretion.
2. How the Program Works
2.1. Referrers will receive a unique referral link or code (the “Referral Link”) within their Oli Health account.
2.2. A “Referred Customer” is a new Oli Health customer who (a) has never previously registered for an Oli Health account, (b) signs up using the Referrer’s Referral Link or another Oli Health-approved referral method, (c) becomes an Active Customer, and (d) is verified by Oli Health.
2.3. A Referred Customer is considered an “Active Referral” when the Referred Customer is on a paid, eligible Oli Health plan, has completed signup, has remained subscribed beyond any applicable trial or refund period, is current on all amounts due, and is otherwise in good standing.
2.4. Each Active Referral entitles the Referrer to a 20% recurring discount applied to the flat base subscription fee of the Referrer’s Oli Health All-in plan (Solo or Unlimited).
2.5. Active Referral discounts stack on the same flat base subscription fee: one (1) Active Referral provides 20% off, two (2) provide 40% off, three (3) provide 60% off, four (4) provide 80% off, and five (5) provide 100% off.
2.6. When the Referrer maintains five (5) Active Referrals, the flat base subscription fee for the Referrer’s All-in plan will be discounted to $0 (the “Free Plan Reward”). Additional Active Referrals do not reduce the base subscription fee below $0 and have no cash value.
2.7. The Free Plan Reward and any partial discount continue for as long as the corresponding number of Active Referrals remain active and the Referrer’s account remains in good standing.
2.8. Referral discounts apply once at the account level to the flat All-in base subscription of the Referrer’s selected plan, which includes that plan’s practitioner seats (one practitioner seat on the Solo plan; unlimited practitioner seats on the Unlimited plan). Adding or removing practitioners does not change the referral count or discount percentage.
3. Grace Period
3.1. If the number of Active Referrals associated with a Referrer falls below five (5), the Free Plan Reward will continue until the end of the Referrer’s then-current billing cycle (the “Grace Period”). Regular billing will resume at the start of the Referrer’s next billing cycle unless, prior to that date, the Referrer restores the number of Active Referrals to five (5) or more.
3.2. If, at the start of the next billing cycle, the Referrer has fewer than five (5) Active Referrals, the Free Plan Reward will end and the Referrer’s applicable discount will adjust to reflect the current number of Active Referrals (e.g., 80% off for four Active Referrals).
3.3. Once the Active Referral count is restored to five (5) or more, the Free Plan Reward will resume on a forward-going basis at the start of the next applicable billing cycle. Oli Health is not obligated to prorate, credit, or retroactively refund any fees billed during periods in which the Referrer had fewer than five (5) Active Referrals.
3.4. For clarity, the Grace Period is tied to the Referrer’s billing cycle (monthly, as applicable to the Referrer’s subscription).
4. What the Free Plan Reward Includes
4.1. The Free Plan Reward applies only to the recurring flat base subscription fee of the eligible Oli Health All-in plan on the Referrer’s account.
4.2. The All-in base subscription includes the practitioner seats provided by the Referrer’s selected plan (one practitioner seat on the Solo plan; unlimited practitioner seats on the Unlimited plan). The Free Plan Reward therefore covers the account-level base subscription, not individual practitioners.
4.3. The maximum referral discount is 100% of one account-level All-in base subscription. The Program does not create a cash balance or discount usage-based, transactional, third-party, or add-on charges.
5. What the Free Plan Reward Does NOT Include
The Free Plan Reward does not cover, waive, discount, or reimburse any of the following, all of which remain the sole responsibility of the Referrer:
5.1. AI usage beyond any included allotment and add-on AI credits, including metered usage, overages, or separately priced premium AI services.
5.2. Payment processing fees, including but not limited to credit card, debit card, ACH, bank transfer, digital wallet, and any third-party processor fees, interchange fees, chargeback fees, or platform fees associated with collecting payments from clients or patients.
5.3. Insurance and claims processing fees, including but not limited to claim submission fees, clearinghouse fees, eligibility check fees, ERA/EOB processing fees, claim resubmission fees, denial management fees, and any third-party billing partner fees.
5.4. SMS, voice, fax, and notification fees, including appointment reminders, two-way messaging, voice calls, mass communications, and any per-message or per-minute charges.
5.5. Storage overage fees, including overages for documents, images, recordings, attachments, audio/video files, transcripts, or backups beyond plan-included limits.
5.6. E-prescribing, lab integration, and e-fax fees, including per-transaction or per-message fees and any third-party network fees.
5.7. Onboarding, training, data migration, custom development, professional services, and consulting fees.
5.8. Add-on modules, premium integrations, marketplace apps, and third-party app fees, including any fees passed through from third-party vendors.
5.9. Additional locations or services outside the base All-in plan. The practitioner seats provided by the Referrer’s selected plan (one practitioner seat on the Solo plan; unlimited practitioner seats on the Unlimited plan) are included in the base subscription; separately priced locations, activation services, or offerings outside that plan remain payable.
5.10. Compliance, legal, audit, BAA-related, or jurisdiction-specific surcharges that may apply to certain customers or regions.
5.11. Taxes, including sales tax, GST, HST, VAT, and any other applicable national, state, provincial, or local taxes, levies, duties, or government-imposed fees, all of which remain the responsibility of the Referrer.
5.12. Any fees, charges, or services not expressly identified as part of the base Oli Health All-in plan recurring subscription fee.
Note: Standard 1:1 telehealth (HIPAA-compliant video consultations) is included in every Oli Health All-in plan and is therefore covered by the Free Plan Reward.
For clarity: the Free Plan Reward zeroes out only the recurring base subscription fee for the Referrer’s selected Oli Health All-in plan. All metered, usage-based, third-party, regulatory, transactional, and add-on fees continue to be billed in accordance with Oli Health’s then-current pricing.
6. Plan Changes, Upgrades, and Downgrades
6.1. If the Referrer upgrades, downgrades, or changes their Oli Health subscription, the discount or Free Plan Reward will apply to the then-current base subscription fee of the eligible Oli Health All-in plan.
6.2. The Free Plan Reward applies only to the Oli Health All-in plan and not to any other plan, tier, bundle, or higher-priced offering except where Oli Health expressly states otherwise.
6.3. Discounts under this Program do not stack with promotional pricing, coupons, partner discounts, education or non-profit discounts, beta credits, or any other Oli Health offer, unless Oli Health expressly authorizes stacking in writing.
7. No Cash Value; Non-Transferable
7.1. Discounts and the Free Plan Reward have no cash value and are not redeemable for cash, credit, refund, or any equivalent.
7.2. Discounts and the Free Plan Reward are personal to the Referrer’s account, are non-transferable, and may not be sold, assigned, traded, or combined across accounts.
7.3. Referrer credits and the Free Plan Reward expire automatically upon termination, cancellation, or suspension of the Referrer’s Oli Health account, or termination of the Program.
8. Prohibited Conduct
8.1. Referrers may not engage in any of the following prohibited conduct, and any such conduct may result in disqualification, reversal of discounts, billing for amounts previously discounted, suspension, or termination of the Referrer’s account:

Self-referrals, including referring oneself, family members under the same household billing, or affiliated business entities;

Creating duplicate, fake, or fraudulent Oli Health accounts;

Using bots, scripts, automation, click farms, or any artificial means to generate referrals or signups;

Spamming, including unsolicited bulk email, SMS, social media posts, or messaging in violation of CAN-SPAM, CASL, GDPR, TCPA, or any other applicable law;

Misrepresenting Oli Health, its features, pricing, compliance posture, or any aspect of the Program;

Bidding on Oli Health trademarks or branded keywords in paid search or paid social campaigns without prior written authorization;

Publishing or sharing Referral Links on coupon, deal, cashback, or rebate sites without prior written authorization;

Offering unauthorized incentives, kickbacks, or rebates to potential Referred Customers, including any incentives that may violate the federal Anti-Kickback Statute, Stark Law, state anti-kickback laws, professional licensing rules, or healthcare fee-splitting rules applicable to the Referrer’s practice;

Any conduct that violates applicable law, regulation, or professional ethical obligation, including HIPAA, PIPEDA, PHIPA, state privacy laws, or applicable provider/regulator rules.
8.2. Referrers are solely responsible for ensuring their participation in the Program complies with all laws, regulations, professional licensing requirements, and codes of ethics applicable to their practice and jurisdiction. Healthcare providers should consult their own legal and compliance counsel before sharing Referral Links with patients, clients, or referral sources.
9. Verification, Audit, and Reversal
9.1. Oli Health may verify, audit, monitor, and review all referrals at any time, including before or after a discount is applied.
9.2. Oli Health may, in its sole discretion, withhold, reverse, claw back, or invalidate any discount or Free Plan Reward, and bill the Referrer for any amounts previously discounted, if Oli Health determines (a) the referral does not meet the requirements of these Program Terms, (b) the Referred Customer was not a bona fide new customer, (c) any prohibited conduct occurred, or (d) the Program was abused or manipulated in any way.
9.3. A Referred Customer who cancels, churns, becomes delinquent, charges back, or otherwise ceases to be an Active Customer will be removed from the Referrer’s Active Referral count effective as of the date such status changes.
10. Taxes
10.1. Discounts and the Free Plan Reward may be considered taxable income or a taxable benefit in certain jurisdictions. The Referrer is solely responsible for determining and paying any applicable taxes, levies, withholdings, or government charges arising out of participation in the Program.
10.2. Oli Health may issue tax forms (e.g., 1099, T4A, or jurisdiction-equivalent) where required by applicable law and may request information necessary to comply with tax reporting obligations.
11. Privacy
11.1. Information shared with Oli Health in connection with the Program will be handled in accordance with the Oli Health Privacy Policy.
11.2. Referrers must not share any patient/client protected health information (PHI), personally identifiable information, or confidential information of third parties with Oli Health in connection with the Program. Referral Links should be shared only with individuals who have consented to receive such communications and only for legitimate, lawful, and ethical purposes.
12. Modification, Suspension, and Termination
12.1. Oli Health may modify, suspend, or terminate the Program, in whole or in part, at any time and for any reason, with or without notice.
12.2. Oli Health may modify these Program Terms at any time by posting an updated version. Continued participation in the Program following such modification constitutes acceptance of the updated Program Terms.
12.3. Upon termination of the Program, any unredeemed discounts, Active Referral progress, and Free Plan Reward eligibility may be discontinued. Oli Health will use commercially reasonable efforts to provide reasonable notice prior to terminating the Program in its entirety.
12.4. Oli Health may, in its sole discretion, suspend or terminate any Referrer’s participation in the Program for violation of these Program Terms or the Oli Health Agreements.
13. Disclaimers and Limitation of Liability
13.1. THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
13.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OLI HEALTH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM.
13.3. OLI HEALTH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY THE REFERRER TO OLI HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
14. Governing Law and Disputes
14.1. These Program Terms are governed by and construed in accordance with the laws specified in the Oli Health Terms of Service, without regard to conflict of laws principles.
14.2. Any dispute arising out of or relating to the Program shall be resolved in accordance with the dispute resolution provisions of the Oli Health Terms of Service.
15. Miscellaneous
15.1. Entire Agreement. These Program Terms, together with the Oli Health Agreements, constitute the entire agreement between the parties with respect to the Program.
15.2. Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.3. No Waiver. No failure or delay by Oli Health in exercising any right shall operate as a waiver thereof.
15.4. Assignment. The Referrer may not assign or transfer these Program Terms or any rights hereunder without Oli Health’s prior written consent. Oli Health may assign these Program Terms freely.
15.5. Headings. Section headings are for convenience only and shall not affect interpretation.
